GPs are upping their game as fundraising stagnates with all types of angles. The latest pitch: move all the way up the capital stack and become a GP!
Is it just a natural progression for LPs looking to move up the capital stack? Because what’s better than owning a 4-unit? Common equity in a 400-unit! And what’s better than common equity? Pref equity! And what’s better than pref equity? Debt! And what’s better than debt? Fees!
But….if you’re an accredited investor and are regularly investing in syndications (successfully, I hope), why would you be financially motivated to collect acquisition fees?
To be clear, there is nothing wrong with being a GP - there would be no investments without GPs. And there’s nothing wrong with fees; businesses have expenses. But when an LP transitions to the uneviable position of a GP just for fees that is a very troubling motivation.
The reality is that real estate investments require long persistent work. No fee can compensate for what is required. I want a GP that is doing deals out of passion for the business. Because they do it for themselves. Because they would do it anyway - it’s not about the money. It’s a love of the game.
So if you’ve just graduated from the LP to GP training. Congratulations. I hope this is a passion project for you, and not just another way to sour a new batch of investors on an otherwise proven investment model.
